Is there any good framework for defining the term "Background IP" and how to translate the definition to a contractual tool. How is the intellectual assets specified? I.e. everything that is brought in that is not captured by patents, copyright, trademarks or trade secret (NDA as a tool to control)? How narrowly should the field of use be specified? Is there any particular place where I can find good templates and information for this topic? I am looking for case studies of how companies have used Outlook (in an Exchange environment) as a tool for collaboration. Many (maybe most) companies today have an exchange server and use Outlook. They use only a small fraction of the features that their exchange server gives them. Most places I have visited use it for only sending email and scheduling meetings. It seems to me that they are not getting the maximum befit that a powerful collaboration tool like exchange has to offer.
