If you switch out any piece of your computer (like cpu or RAM) OEM will run fine, but if you try to replace the motherboard your OEM copy won't work anymore. Also, OEMs either come as 32 bit versions or 64 bit versions whereas the retails let you install either. It may not be legal for a person to sell it, but it's perfectly legal to buy the software from a retailer if you meet the requirements of the EULA. You can legally and easily buy OEM copies of Windows from stores like Newegg or ZipZoomFly if you are also buying parts for a new computer. And no manufacturer gives you the Windows disk anymore; often, if you get disks at all, it's an image that you have to restore. Most likely it's a partition on your hard drive with the same image.
